Affiliate Program Agreement

Parties
This Affiliate Program Agreement (the "Agreement") is made between BonaFx (the "Company") and the individual who applies for, is accepted into, or participates in the BonaFx Affiliate Program (the "Affiliate"). This Agreement sets out the general terms under which the Affiliate may promote BonaFx products and services and receive commission on eligible sales. The Company and the Affiliate may be referred to individually as a "Party" and together as the "Parties".

Program Participation
The Company permits the Affiliate, on a non-exclusive and revocable basis, to promote BonaFx products and services, including challenge accounts and related services, subject to this Agreement, the Company's program rules, brand guidelines, compliance requirements, and any written instructions issued by the Company.

Scope of Affiliate Activities
The Affiliate may promote BonaFx through approved marketing channels, share the Company's approved referral link, promo code, tracking ID, or approved promotional materials, and refer potential customers to the Company.
The Affiliate is not authorized to: accept payments on behalf of the Company, bind the Company, sign documents for the Company, provide financial advice, guarantee trading results, or make any statement not approved by the Company.

Commission Structure
The Affiliate shall be eligible to receive a commission equal to ten percent (10%) of Net Sales generated from eligible customer purchases that are validly tracked through the Affiliate's approved referral link, promo code, tracking ID, or another written tracking method approved by the Company.

Definition of Net Sales
"Net Sales" means the actual amount received and cleared by the Company from eligible referred customer purchases, after deducting: refunds, chargebacks, cancellations, reversals, payment gateway fees, taxes, discounts, bonuses, credits, disputed transactions, fraudulent transactions, duplicate transactions, and any other deductions reasonably determined by the Company.

Tracking and Attribution
Sales will be attributed to the Affiliate only when the customer purchase is successfully tracked through the approved referral link, promo code, tracking ID, or other Company-approved tracking method. The Company's tracking records shall be the primary source for calculating eligible commissions.
Any attribution dispute must be submitted in writing within seven (7) calendar days from the date of the relevant commission report.

Commission Reports and Payment
Commissions shall be added after the purchase order is completed and paid within 15 business days after the end of each calendar month, provided that the minimum payable commission balance is 50 USD.
Payments may be made by crypto, payment provider, or any other method approved by the Company. The Affiliate is responsible for providing accurate payment details and for any taxes, banking charges, or transfer fees applicable to the Affiliate.

Refunds, Chargebacks, and Reversals
If any referred customer purchase is refunded, reversed, cancelled, charged back, found to be fraudulent, disputed, or otherwise not finally collected by the Company, the related commission shall not be payable.
If such commission has already been paid, the Company may deduct the amount from future commissions or request repayment from the Affiliate.

Marketing Rules and Compliance
The Affiliate must comply with all applicable advertising, consumer protection, financial promotion, data privacy, anti-spam, platform, and social media rules.
The Affiliate must not: make misleading claims, guarantee profits, promise payouts, imply risk-free trading, use unauthorized testimonials, impersonate the Company, or publish content that may damage the Company's reputation. All use of BonaFx brand assets must follow the Company's brand and compliance instructions.

No Financial Advice or Client Handling
The Affiliate acknowledges that BonaFx products and services may relate to trading challenges and financial market activities that involve risk. The Affiliate shall not provide investment advice, portfolio management, account management, trade signals, trading instructions, customer onboarding approvals, or any financial recommendation on behalf of the Company unless separately authorized in writing by the Company and permitted by applicable law.

Customer Relationship
All referred customers shall become customers of the Company once accepted by the Company. The Company has the right to approve, reject, suspend, terminate, or refuse service to any customer at its sole discretion, including for compliance, fraud prevention, payment risk, business risk, or violation of Company rules.

Independent Contractor
The Affiliate acts as an independent contractor and not as an employee, agent, legal representative, partner, franchisee, broker, or joint venture partner of the Company. The Affiliate has no authority to create obligations, make commitments, or represent that it has authority to act for the Company.

Confidentiality
The Affiliate shall keep confidential all non-public information received from the Company, including commercial terms, commission data, customer information, internal processes, pricing, technology, reports, marketing plans, and business plans. This obligation continues after termination of this Agreement.

Data Protection
The Affiliate shall handle any personal data in accordance with applicable data protection laws and shall not misuse, sell, disclose, or process customer information except as permitted by law and by the Company's written instructions.
The Affiliate must immediately notify the Company of any suspected data breach involving BonaFx-related customer information.

Intellectual Property
All trademarks, logos, trade names, domain names, website content, platform content, creative materials, and other intellectual property relating to BonaFx remain the exclusive property of the Company or its licensors. The Affiliate receives a limited, revocable, non-transferable right to use approved brand materials solely for promoting BonaFx under this Agreement.

Prohibited Activities
The Affiliate shall not engage in:
- Fraud or cookie stuffing
- Fake registrations or fake purchases
- Self-referrals (unless approved in writing)
- Misleading advertising
- Unauthorized paid search bidding on BonaFx brand keywords
- Spam or scraping
- Impersonation or defamatory content
- Prohibited traffic sources
- Any activity that violates Company rules or applicable law
- Fraud or cookie stuffing
- Fake registrations or fake purchases

- Misleading advertising
- Unauthorized paid search bidding on BonaFx brand keywords
- Spam or scraping

Term and Termination
This Agreement begins on the Effective Date and continues until terminated by either Party. Either Party may terminate this Agreement by giving seven (7) calendar days' written notice.
The Company may terminate immediately if the Affiliate breaches this Agreement, violates compliance requirements, damages the Company's reputation, engages in fraud, or creates regulatory, payment, legal, or business risk.

Effect of Termination
Upon termination, the Affiliate must immediately stop using BonaFx brand materials, referral links, promo codes, tracking IDs, and marketing content unless otherwise approved in writing by the Company.
Commissions earned before termination may be paid only if they are valid, tracked, non-disputed, non-fraudulent, and compliant with this Agreement. The Company may withhold or cancel commissions connected to prohibited, fraudulent, or non-compliant activity.

Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of business, or loss of opportunity.
The Company's total liability under this Agreement shall not exceed the unpaid valid commissions owed to the Affiliate for the three (3) months immediately preceding the event giving rise to the claim.

Indemnity
The Affiliate agrees to indemnify and hold harmless the Company, its directors, officers, employees, contractors, affiliates, and partners from any claims, losses, damages, penalties, costs, expenses, or liabilities arising out of the Affiliate's breach of this Agreement, marketing activities, unlawful conduct, misleading statements, misuse of data, or violation of third-party rights.

Program Changes
The Company may update program rules, commission policies, compliance requirements, brand guidelines, tracking procedures, and payment procedures from time to time. Material changes should be communicated in writing.
Continued promotion of BonaFx after receiving notice of updated terms shall be deemed acceptance of such updated terms.

Notices
Any notice under this Agreement shall be sent by email or another written communication method approved by the Company.

Entire Agreement
This Agreement constitutes the entire agreement between the Parties regarding the Affiliate Program relationship and supersedes any prior discussions, proposals, messages, or understandings relating to the same subject matter.

Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of Saint Lucia. Any dispute arising out of or relating to this Agreement shall be resolved by the competent courts of Saint Lucia, unless the Parties agree in writing to mediation or arbitration.
Important Notice
The BonaFx Affiliate Program is subject to review and approval by BonaFx. Participation does not guarantee commissions, and all payouts depend on valid tracking, compliance with this Agreement, and final collection of referred sales.
